What Is a Full and Final Settlement Letter?

A Full and Final Settlement (FnF) letter is the document that closes out an employee's financial relationship with an employer at the end of employment. It lists every amount the employee is owed — and any amount the employee owes the company — and arrives at one final net figure.

  • Employees need it as proof of what they were paid (or are owed) on exit, often required for new employer background checks or loan applications.
  • HR teams need it to formally close the payroll record and avoid future disputes about what was settled.
  • Both sides need it as the reference document if a dispute later goes to the Labour Commissioner or Labour Court.

You typically need an FnF letter when you resign, are terminated, complete a fixed-term contract, or retire — any event that ends the employment relationship and triggers a final payout.

What Is Included in an FnF Settlement?

A complete FnF settlement is built from seven components. Missing any of these in your letter can mean missing money you are legally owed.

ComponentWhat It CoversTypical Formula
Unpaid SalarySalary for days actually worked in the final month, including any earlier withheld salary.(Monthly gross ÷ 30) × days worked
Leave EncashmentPayment for unused earned/privileged leave as per company policy.(Monthly basic ÷ 26) × unused leave days
GratuityPayable only after 5 years of continuous service (4 yrs 240 days for factory workers).(Last basic + DA) ÷ 26 × 15 × years of service
BonusStatutory bonus (if applicable under the Payment of Bonus Act) or contractual annual bonus, pro-rated.Annual bonus × (months worked ÷ 12)
IncentivesSales, performance, or quarterly incentives that have accrued based on achieved targets. As per incentive policy / achievement record
ReimbursementsApproved but unpaid travel, mobile, or business expense claims.Sum of approved, unpaid claims
DeductionsNotice period shortfall, unreturned asset cost, loan/advance recovery, TDS.Subtracted from gross settlement total

Full and Final Settlement Calculation Example

Here's a worked example for an employee with a ₹60,000 monthly gross salary, ₹30,000 basic + DA, 6 years of service, who resigned with 18 working days completed in the final month and a 5-day notice period shortfall.

Unpaid salary (18 days in final month, ₹60,000 monthly gross)₹36,000
Leave encashment (12 unused EL days, ₹30,000 basic)₹13,846
Gratuity (6 years service, ₹30,000 basic + DA)₹1,03,846
Pro-rated annual bonus (₹24,000 annual, 6 months worked)₹12,000
Pending travel reimbursement₹4,500
Gross settlement₹1,70,192
Less: Notice period shortfall (5 days short, ₹2,000/day)−₹10,000
Less: Laptop not returned−₹15,000
Net Full and Final Settlement payable₹1,45,192

This is an illustrative example only. Actual gratuity, leave encashment, and bonus calculations depend on your company's HR policy and applicable state law. Use the generator above to auto-calculate your own figures.

Employer Timeline for FnF Settlement in India

There is no single law that fixes one exact deadline for every component, but the following timeline reflects the statutory minimums and the standard industry compliance window most courts and Labour Commissioners recognise.

StageWhat Should Happen
Day 0Last working day — handover, asset return, exit clearance initiated.
Day 1–10Statutory deadline under the Payment of Wages Act, 1936 (Section 5) for wage components.
Day 15–30Most companies process the full FnF, including gratuity and leave encashment, within this window.
Day 30–45Industry-recognised outer limit. Beyond this, courts generally do not accept "processing delay" as a valid excuse.
Day 45+Treat as a compliance failure — send a formal demand letter, followed by a legal notice if unresolved.

What To Do If You Have Not Received Your FnF Settlement

If your employer has crossed the 45-day mark with no payment and no explanation, here is the escalation order most employees follow — each step builds the evidence needed for the next.

✉️

Step 1: Written follow-up to HR

Send a polite, dated email to HR and your manager with a specific response deadline (e.g. 7 days). This becomes your first documented record.

📋

Step 2: Formal demand letter

If Day 30–45 passes with no payment, send a written demand letter citing the Payment of Wages Act and itemising every amount owed.

⚖️

Step 3: Legal notice

If the demand letter is ignored, escalate to an advocate-style legal notice with a 15-day deadline — this is your formal pre-litigation step.

🏛️

Step 4: Labour Commissioner complaint

Free of cost. The Commissioner can direct payment plus compensation of up to 10× the delayed amount under Section 15 of the Payment of Wages Act.

🧑‍⚖️

Step 5: Labour Court / civil suit

For gratuity disputes or high-value claims, file under Section 33C(2) of the Industrial Disputes Act, or a civil suit for large amounts.

Frequently Asked Questions — Full and Final Settlement Letter

What is a Full and Final Settlement (FnF) letter?
A Full and Final Settlement letter is a document issued at the end of employment that itemises every amount owed to (or, occasionally, owed by) an employee — unpaid salary, leave encashment, gratuity, bonus, incentives, and reimbursements, minus any deductions — and confirms this is the final closure of the employment relationship.
How long does an employer have to pay FnF after resignation in India?
There is no single central law fixing one exact number of days, but the Payment of Wages Act, 1936 requires wages to be paid within 7–10 days of the wage period ending, and most state Shops & Establishments Acts and industry practice treat 30–45 days from the last working day as the reasonable outer limit.
How is Full and Final Settlement calculated?
FnF is calculated by adding unpaid salary for days worked, leave encashment, gratuity (if eligible), pro-rated bonus and incentives, and reimbursements, then subtracting deductions such as notice period shortfall, loan recovery, or unreturned asset costs.
What should I do if I have not received my FnF settlement?
First, send a written follow-up to HR with a clear deadline. If ignored, send a formal demand letter, then a legal notice if that too is ignored. Beyond that, you can file a free complaint with the Labour Commissioner, who can direct payment plus compensation under Section 15 of the Payment of Wages Act.
Is gratuity always part of Full and Final Settlement?
Gratuity is included only if the employee qualifies under the Payment of Gratuity Act, 1972 — generally 5 years of continuous service (4 years 240 days for factory workers). If the employee has not completed this period, gratuity does not legally apply unless company policy states otherwise.
